PROFESSIONAL EXPERIENCE 2007 – 2012 Senior Director – Compliance, Mannatech Incorporated Managed a department of six people with primary responsibility for the company’s compliance, litigation and investigatory initiatives. Key areas of focus include (i) management of the company’s litigation matters and law firm relationships in this area, (ii) management and resolution of employee investigations, (iii) supervision of the company’s compliance efforts from complaint intake and investigation through resolution and disposition in the United States and 21 foreign countries, (iv) direct interaction with corporate executives and staff in preparation for any potentially adverse action, (v) legal advice and counseling regarding policy-related matters, and (vi) negotiation of company contracts. Promoted twice during tenure - Senior Attorney (2007- 2008), Senior Corporate Counsel (2008-2010), Senior Director – Compliance (2010-2012). Significant achievements include: - Successful settlement of litigation brought by the State of Texas predominately related to product claims and successful settlement of multiple securities class action and shareholder derivative suits. Upon my arrival the Compliance Department was restructured and retasked in a manner that was critical to the ability of the company to negotiate resolution of these pre-existing issues. - Successful resolution of litigation brought by the company against infringers of its patents. The company pressed the first matter to a full jury verdict, achieving success on all counts. Additional actions were brought against 12 other companies with injunctions and settlements favorable to the company achieved each time. Twenty- nine offending products have been removed from the market to date. - Successful resolution of litigation brought by a consumer asserting product liability claims against company products. The matter was resolved on favorable terms to the company within a year of the law suit’s filing. - Representation of the company in non-public investigation by various state and federal agencies. - Management of a settlement-mandated nationwide refund program offered to over 350,000 consumers. 2002 – 2007 Litigation Associate, Brady & Cole, PC Broad-based representation of corporations and individuals in commercial, civil and probate litigation matters as the lead counsel or in a supporting role – H.T. Ardinger & Son Co. in a legal malpractice case, and MHC Kenworth in several commercial lawsuits. I continued my relationship as local litigation counsel for Hughes, Watters & Askanase in North Texas area, and represented other lending institutions such as Ameriquest Capital, Synadyne International, and Nations Credit Financial Credit. 1997 – 2002 Litigation Associate, Little Pedersen Fankhauser & Cox Broad-based representation of corporations and individuals in commercial, civil and probate litigation matters as the lead counsel or in a supporting role – McDonalds Corporation in game fraud litigation, Amana in a dispute with a franchisee, and various lending institutions such as Fairbanks Capital Corporation and BMW Financial Services. I also established a relationship with Hughes, Watters & Askanase during this time, and began serving as the firm’s local litigatiocounsel in the North Texas area. 1996 – 1997 Partner, Sheils Winnubst Laurin & Witcher Representation of individual clients in eminent domain, real estate, probate, and general civil litigation as the lead counsel.Obtained certification as a Guardian Ad Litem for probate and family law matters in Dallas County. 1986 – 1996 Litigation Associate, Law Offices of Eddie Vassallo Representation of clients in all manner of general litigation, with a focus on commercial as well as eminent domain and real estate matters in state and federal courts throughout Texas. Participated in the briefing and argument of the prevailing party’s position before the Texas Supreme Court in Castleberry vs. Branscum, 721 S.W.2d 270 (Tex. 1986).
